Terms of Service for Myra SaaS

Agreement to Terms
By installing or using Myra SaaS ("the App"), you agree to these Terms of Service ("Terms"). If you disagree, do not use the App.
Description of Service
Myra SaaS is a Shopify application that provides:
- AI-powered voice-to-voice customer assistant
- Multilingual support (5+ international languages)
- Real-time product support and sales automation
- CRM and order management features
- Social media integrations (WhatsApp, Facebook, Instagram)
- Third-party platform integrations (Intercom, Zoho, Zendesk, Slack)
- Analytics and lead generation
- Smart browser redirects
Eligibility
- You must have an active Shopify store
- You must be at least 18 years old or have parental consent
- You must provide accurate installation information
- You represent that you have authority to bind your business to these Terms
Account and Subscription
Free Trial
- 7-day free trial with 5,000 tokens for the trial
- No credit card required for trial
- Trial plans have the option to convert to a paid plan before or after trial expires after 7 days
Paid Plans
- Standard: $98/month or $882/year (save 25%)
- Professional: $198/month or $1,782/year (save 25%)
- Advanced: $298/month or $2,682/year (save 25%)
Billing
- Charged through Shopify billing system
- Monthly plans: Billed every 30 days
- Annual plans: Billed yearly in advance
- Automatic renewal unless cancelled
- No refunds for partial months (except as required by through dispute or law)
Cancellation
- Cancel anytime through Shopify admin
- Service continues until end of billing period
- Data deleted within 48 hours after cancellation (GDPR compliance)
Acceptable Use
You May:
- Use the App for legitimate business purposes
- Customize AI responses within ethical bounds
- Integrate with supported third-party services
- Train AI on your product catalog
You May Not:
- Use the App for illegal or harmful activities
- Harass, abuse, or harm others
- Attempt to reverse engineer or copy the App
- Exceed rate limits or abuse the service
- Share account credentials
- Use for spam, phishing, or malicious purposes
- Train AI on copyrighted content you don't own
- Violate any laws, regulations, or third-party rights
Intellectual Property
Our Rights
- We own all rights to Myra SaaS, including code, design, AI models, and branding
- "Myra," logos, and trademarks are our property
Your Rights
- You retain ownership of your store data, product content, and customer information
- You grant us license to retrieve this data through APIs in order to provide our service
AI-Generated Content
- AI responses are generated based on your trained data
- You are responsible for reviewing and approving context you provide for training
- Generative-AI is an experimental technology and we are not liable for AI-generated content accuracy, as AI are known to produce "hallucinated" responses on the odd-occasion.
Data and Privacy
- We process data as described in our Privacy Policy
- You are responsible for obtaining customer consent for data collection
- You must comply with GDPR, CCPA, and applicable privacy laws
- We act as a data processor; you are the data controller
Service Level and Availability
Uptime
- We strive for 99.9% uptime (excluding scheduled maintenance)
- No guarantee of uninterrupted service
Support
- Email support for all plans
- Priority support for Professional and Advanced plans
- 24/7 instant support for Advanced plan
- Response time: 24-48 hours (business days)
Limitations
- Token limits based on plan tier
- Chat session retention based on plan
- Feature integration availability varies by plan
Third-Party Integrations
- Integrations with WhatsApp, Facebook, Instagram, Intercom, Zoho, Zendesk, Slack and Shopify are subject to their respective terms
- We are not responsible for third-party service outages or changes
- Integration availability may change
Modifications to Service
We reserve the right to:
- Modify or discontinue features (with notice)
- Update pricing (current subscribers grandfathered for 6 months)
- Change these Terms (with notice)
- Suspend service for service and/or term violations or non-payment
Termination
By You
- Uninstall the App anytime
- Data deleted per GDPR (48 hours)
By Us
- For Terms violations
- For non-payment
- For illegal activity
- For abuse of service
- With 30 days' notice for business reasons
Warranties and Disclaimers
Limited Warranty
- We provide the service with reasonable skill and care
- We do not warrant that AI will be 100% accurate
DISCLAIMER
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT GUARANTEE:
- AI accuracy or appropriateness of responses
- Sales increases or specific business outcomes
- Error-free or uninterrupted service
- Security breaches will never occur
- Third-party integrations will always work
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE LAST 12 MONTHS
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- THIS INCLUDES LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION
SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITS MAY NOT APPLY TO YOU.
Indemnification
You agree to indemnify and hold us harmless from claims arising from:
- Your use of the App
- Your violation of these Terms
- Your violation of laws or third-party rights
- Content you provide or AI generates based on your training
Dispute Resolution
Governing Law
- These Terms are governed by New York law
- Excluding conflicts of law principles
Arbitration
- Disputes resolved through binding arbitration (except small claims court)
- Arbitration in our registered business address
- You waive right to class actions
Exceptions
- We may seek injunctive relief in court for intellectual property violations
- GDPR/CCPA rights are not subject to arbitration
Miscellaneous
Entire Agreement
- These Terms and Privacy Policy constitute the entire agreement
- Supersedes prior agreements
Severability
If any provision is unenforceable, the rest remains in effect
Waiver
Failure to enforce a right does not waive it
Assignment
- You may not assign these Terms
- We may assign to affiliates or in business transfers
Force Majeure
We are not liable for delays due to circumstances beyond our control
Updates to Terms
- We may update these Terms with notice
- Continued use after changes constitutes acceptance
- Material changes require 30 days' notice

Shopify-Specific Terms
- These Terms supplement Shopify's Partner Program Agreement

- App uninstall triggers automatic subscription cancellation
By installing Myra SaaS, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
